By accessing or using TokenEase services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and TokenEase ("Company", "we", "us", or "our"). By creating an account, subscribing to a plan, or making API calls through our gateway, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of the Service after any changes indicates your acceptance of the revised Terms. Material changes will be notified via email or a prominent notice on our website.
TokenEase provides an API gateway service that allows developers to access multiple AI language models through a unified interface. Our Service aggregates access to models provided by third-party AI companies including but not limited to DeepSeek, Zhipu AI (GLM), Alibaba Cloud (Qwen), ByteDance (Doubao), Moonshot AI (Kimi), and Tencent Cloud.
We do not own, operate, or control the underlying AI models. We are a gateway provider that routes your requests to these third-party services. The quality, availability, accuracy, and performance of AI-generated outputs depend on the underlying model providers and are outside our direct control.
To use our Service, you must create an account by providing a valid email address. You are responsible for:
We reserve the right to suspend or terminate accounts that violate these Terms or exhibit suspicious activity patterns.
We offer the following subscription tiers:
If you exceed your monthly token quota, you will be charged overage fees at the rate specified for your plan. Overages are billed at per-million-token rates. Each plan has a monthly overage hard cap to prevent unexpected bills. You can monitor your usage through your account dashboard.
Alternatively, you may add balance to your account and pay only for the tokens you use, without a monthly subscription. Balance does not expire but is non-refundable except as specified in our Refund Policy.
Subscriptions automatically renew on a monthly basis unless cancelled. Payments are processed through Paddle, our payment processor. You authorize us to charge your selected payment method for all applicable fees. Failed payments may result in service suspension after a 3-day grace period.
We may adjust pricing with 30 days' advance notice. Price changes will not affect subscriptions already paid for the current billing period.
TokenEase aims to maintain the gateway service available 99.5% of the time on a monthly basis, excluding scheduled maintenance and circumstances beyond our reasonable control (force majeure, third-party provider outages, internet backbone failures).
We may perform scheduled maintenance with advance notice when possible. Maintenance windows will be announced at least 48 hours in advance via our status page and email notifications to affected users.
If monthly availability falls below 99.5%, affected subscribers may request a service credit equal to 10% of their monthly subscription fee for each full 1% below 99.5%, up to a maximum of 50% of the monthly fee. To claim a credit, you must contact support within 15 days of the month in question with specific outage details.
SLA credits do not apply to outages caused by: your equipment or software, your violation of these Terms, factors outside our reasonable control, or scheduled maintenance.
You agree not to use the Service for any purpose that is unlawful or prohibited by these Terms. Specifically, you may not:
Violation of this policy may result in immediate suspension or termination of your account without refund.
You retain all rights to the content you submit through our API. We claim no ownership over your inputs or the outputs generated for you.
TokenEase and its licensors own all rights, title, and interest in and to the Service, including all software, algorithms, documentation, trademarks, and branding. These Terms do not grant you any license to use our trademarks or intellectual property except as necessary to use the Service.
Any feedback, suggestions, or ideas you provide may be used by us without restriction or compensation to you.
Subscription fees are generally non-refundable. However, we may issue refunds in the following circumstances:
Pay-as-you-go balance is non-refundable once added to your account. We encourage users to start with small amounts to evaluate the service.
New users receive $1 in free credits upon registration. Free trial credits expire after 14 days and are not convertible to cash or transferable.
To request a refund, contact support@tokenease.io with your account email, transaction details, and reason for the request. We aim to respond within 5 business days.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results from using the Service will be accurate or reliable; (d) any errors in the Service will be corrected.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TOKENEASE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE SERVICE.
Our total liability for any claims arising under these Terms shall not exceed the greater of: (a) the amount you paid to us in the 12 months preceding the claim, or (b) $100 USD. This limitation applies regardless of the form of action, whether in contract, tort, or otherwise.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless TokenEase and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your content.
You may terminate your account at any time by contacting support. Upon termination, your API keys will be deactivated and you will lose access to the Service. Any accrued charges up to the termination date remain due.
We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or create risk or legal exposure for us. We may also terminate accounts that have been inactive for more than 12 months with 30 days' notice.
Upon termination, all licenses and rights granted to you under these Terms will immediately cease. Sections that by their nature should survive termination (including Intellectual Property, Disclaimer, Limitation of Liability, and Indemnification) will survive.
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent courts in Xi'an, China.
TokenEase operates primarily from China. By using our Service, you acknowledge that your data may be processed and stored in China. We comply with applicable data protection laws including the Personal Information Protection Law (PIPL) of China. For international users, we implement appropriate safeguards for cross-border data transfers as described in our Privacy Policy.
Our Service depends on third-party AI model providers. We are not responsible for the availability, performance, content policies, or terms of service of these underlying providers. Changes by third-party providers may affect our Service, and we will make reasonable efforts to communicate such changes to users.
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and TokenEase regarding the Service and supersede all prior agreements and understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
